Member Agreement & Terms of Service

Please read this agreement carefully before creating an account or purchasing a membership. By clicking "I Agree," creating an account, or using any Vytal Future service, you agree to be bound by this agreement in its entirety.
1. Parties and Agreement
This Member Agreement and Terms of Service ("Agreement") is entered into between Vytal Future LLC, a Kentucky limited liability company ("Vytal Future," "Company," "we," "us," or "our"), and the individual creating an account or purchasing a membership ("Member," "you," or "your").
This Agreement governs your access to and use of all Vytal Future services, platforms, applications, assessments, coaching programs, and any related content or materials (collectively, the "Services"). This Agreement incorporates by reference the Health and Wellness Waiver and Release and the Privacy Policy and Data Consent, both of which you must also agree to as a condition of membership.
2. Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Be a legal resident of the United States
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under any applicable law
By creating an account, you represent and warrant that you meet all eligibility requirements. Vytal Future reserves the right to terminate any account found to be in violation of these requirements without notice or refund.
3. Description of Services
Vytal Future is a health optimization and longevity coaching platform. We provide data-driven health tracking, personalized nutrition and wellness coaching, wearable device integration, and automated and human-assisted coaching programs.
3.1 Membership Tiers
Vytal Future offers membership tiers designed to meet members at different levels of health optimization engagement. Current tier names, descriptions, and pricing are published on the Vytal Future website and member dashboard and are subject to change with at least thirty (30) days written notice.
3.2 Add-On Products
The following add-on products are available for separate purchase by members of any tier:
- Coaching Sessions — one-time or recurring sessions with a Vytal Future coach
- Supplement Products — nutritional supplements sourced through our supplier, recommended based on member assessment data and coaching protocols
- Bloodwork Panel — a one-time biomarker panel ordered through a third-party laboratory ordering service. Results are delivered to the member's dashboard and reviewed in an educational context only
3.3 Tier Discounts on Add-Ons
Members may receive discounts on add-on products based on their membership tier. Current discount rates are published on the Vytal Future website and member dashboard and are subject to change with at least thirty (30) days written notice.
4. Billing, Payment, and Cancellation
4.1 Initial Commitment Period
All membership tiers require an initial three (3) month commitment period beginning on the date of sign-up. By purchasing a membership, you authorize Vytal Future to charge your payment method the applicable monthly fee for a minimum of three consecutive months regardless of use or satisfaction, subject to the exceptions in Section 4.4.
4.2 Renewal Terms
Following the completion of the initial three-month commitment period, your membership will automatically renew on a month-to-month basis at the then-current rate for your tier. You may cancel at any time after the initial commitment period by providing written notice through your account dashboard or by contacting Vytal Future at the address below.
4.3 Billing
Membership fees are billed monthly on the anniversary of your sign-up date. Payment is due in advance. Vytal Future accepts major credit and debit cards. You agree to maintain a valid payment method on file and authorize Vytal Future to charge that method on each billing date. If a payment fails, Vytal Future may suspend your account until payment is received.
4.4 Refunds
All membership fees are non-refundable except where required by applicable law. Add-on products, including coaching sessions, supplements, and bloodwork panels, are non-refundable once delivered or initiated. If a coaching session is canceled by the member with less than 24 hours notice, the session will be forfeited. Vytal Future reserves the right to issue refunds at its sole discretion in exceptional circumstances.
4.5 Price Changes
Vytal Future reserves the right to change membership pricing at any time with at least thirty (30) days advance notice to existing members. Notice will be provided by email, dashboard notification, or posting on the Vytal Future website. Price changes will not apply during the initial three-month commitment period of any membership in effect at the time of the announced change.
4.6 Tier Changes
Members may upgrade to a higher tier at any time. The upgrade takes effect immediately and billing adjusts on the next billing cycle. Members may downgrade to a lower tier only after completing the initial three-month commitment period of their current tier.
5. Bloodwork Panel — Specific Terms
The Vytal Future bloodwork panel is an optional, one-time add-on product ordered through a third-party laboratory ordering service. The following terms apply specifically to this add-on:
- The bloodwork panel is ordered and administered by our laboratory partner under their own terms and conditions. Vytal Future is not responsible for the laboratory process, specimen collection, or panel administration.
- Results are provided to the member's Vytal Future dashboard for educational and informational purposes only. Vytal Future coaches review results solely in an educational context — explaining what markers mean in general terms relative to published functional reference ranges. This is not medical diagnosis or medical interpretation.
- Any bloodwork result that falls outside normal ranges should be discussed with a licensed physician or qualified healthcare provider.
- Vytal Future is not liable for any decisions made by the member based on bloodwork results, including decisions to seek or not seek medical care.
6. Member Responsibilities
By using the Services, you agree to:
- Provide accurate, complete, and current information during account creation and onboarding assessments
- Maintain the security of your account credentials and notify Vytal Future promptly of any unauthorized access
- Use the Services only for lawful personal health and wellness purposes
- Engage with weekly SMS assessments honestly and to the best of your ability — the accuracy of your Vytal Score depends on the accuracy of your responses
- Consult a qualified physician or healthcare provider before beginning any new health, nutrition, or physical activity program
- Not share your account with any other individual
- Not attempt to reverse engineer, scrape, or otherwise access Vytal Future's systems or data in unauthorized ways
- Comply with all applicable laws in your use of the Services
7. SMS and Email Communications Consent
Vytal Future's Services include delivery of weekly health assessments, coaching alerts, program updates, and other communications via SMS text message and email. These communications are a core and essential component of the Services.
7.1 SMS Text Message Consent
By providing your mobile phone number and agreeing to this Agreement, you provide your express written consent under the Telephone Consumer Protection Act (TCPA) and applicable state law to receive automated text messages from Vytal Future LLC to the mobile number you provide. These messages may include:
- Weekly health and wellness assessment questions (required for your Vytal Score and pillar scoring)
- Coaching alerts, flags, and personalized health performance notifications
- Program updates, milestone reports, and baseline notifications
- Re-engagement messages when assessment responses are not received
- Add-on product recommendations and upgrade communications
- Account and billing notifications
Message frequency will vary based on your membership tier and program activity. Standard message and data rates may apply. To opt out of SMS communications at any time, reply STOP to any Vytal Future text message. For help, reply HELP.
7.2 Email Communications Consent
By providing your email address and agreeing to this Agreement, you consent to receive email communications from Vytal Future LLC including: account-related communications, program reports and milestone notifications, coaching communications, product recommendations, and updates to this Agreement or our policies. You may opt out of non-essential marketing emails at any time by clicking the unsubscribe link in any email.
7.3 Carrier Liability Disclaimer
Carriers are not liable for delayed or undelivered messages. Neither Vytal Future LLC nor wireless carriers guarantee that SMS messages will be delivered successfully or without delay. Vytal Future is not liable for any delays or failures in SMS message delivery caused by carrier networks, technical issues, or other factors outside of our control.
8. Intellectual Property
All content, materials, scoring methodologies, algorithms, protocols, trademarks, and other intellectual property created by or associated with Vytal Future (collectively, "Vytal Future IP") are the exclusive property of Vytal Future LLC. Nothing in this Agreement grants you any ownership interest in Vytal Future IP.
Your Vytal Score, assessment responses, and health data generated through your use of the Services are yours. Vytal Future's rights to use that data are governed by the Privacy Policy and Data Consent.
You may not reproduce, distribute, modify, publicly display, or create derivative works from any Vytal Future IP without express written permission from Vytal Future LLC.
9. Termination
9.1 Termination by Member
You may terminate your membership at any time after the initial three-month commitment period by providing written notice through your account dashboard or by emailing Vytal Future. Termination takes effect at the end of the current billing cycle. No refund is issued for the remainder of the final billing period.
9.2 Termination by Vytal Future
Vytal Future reserves the right to suspend or terminate your membership at any time for cause, including but not limited to: violation of this Agreement, fraudulent payment activity, abusive conduct toward coaches or staff, or misuse of the Services. In the event of termination for cause during the initial three-month commitment period, no refund will be issued for amounts already charged.
9.3 Effect of Termination
Upon termination, your access to the Services will cease. Vytal Future will retain your data in accordance with the Privacy Policy and Data Consent. You may request export of your personal data prior to or within 30 days of termination.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Vytal Future LLC, its members, managers, employees, coaches, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of or inability to use the Services, regardless of the cause of action or the theory of liability, even if Vytal Future has been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, Vytal Future LLC's total cumulative liability to you for any claims arising out of or related to this Agreement or the Services shall not exceed the total amount of membership fees paid by you to Vytal Future in the three (3) months immediately preceding the event giving rise to the claim.
11. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. Vytal Future does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Vytal Future does not warrant that any health outcome will result from use of the Services.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vytal Future LLC and its members, managers, employees, coaches, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; or (d) any health decision you make in connection with or as a result of using the Services.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact Vytal Future in writing and attempt to resolve the dispute informally. Vytal Future will have thirty (30) days from receipt of your written notice to respond and attempt resolution.
13.2 Binding Arbitration
Except as provided in Section 13.4, any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Warren County, Kentucky, or via remote proceedings. The arbitrator's decision shall be final and binding.
13.3 Class Action Waiver
You and Vytal Future agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action.
13.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or misappropriation of confidential information. Small claims court actions within applicable jurisdictional limits are also exempt from the arbitration requirement.
13.5 Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. For any dispute not subject to arbitration, the parties agree that such matter shall be brought exclusively in the state or federal courts located in Warren County, Kentucky.
14. Modifications to This Agreement
Vytal Future reserves the right to modify this Agreement at any time. Notice of material changes will be provided at least thirty (30) days before the effective date by email, dashboard notification, or posting on the Vytal Future website. Continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Agreement.
15. Miscellaneous
- Entire Agreement: This Agreement, together with the Health and Wellness Waiver and Release and the Privacy Policy and Data Consent, constitutes the entire agreement between you and Vytal Future with respect to the Services.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
- Waiver: Vytal Future's failure to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under this Agreement without Vytal Future's written consent. Vytal Future may assign its rights freely.
